CLEARWATER - OriginClear Inc. (OTC Other: OCLN), the Clean Water Innovation Hub™, and Buda, Texas-based Plastic Welding and Fabrication, Ltd. (PWF) jointly announced today a Memorandum of Understanding (MOU) for a strategic partnership between OriginClear’s subsidiary, Water On Demand, Inc. (“WODI”), and PWF.
PWF currently serves as a significant fabricator, producing robust enclosures based on patented designs for Modular Water Systems (MWS), WODI's technology division focused on creating scalable systems for self-contained water treatment and transportation. The Memorandum of Understanding (MOU) further strengthens the strategic alliance, allowing MWS to manufacture its complete water systems directly at the facility where the enclosures are produced, optimizing efficiency and speed.
Furthermore, the involved parties have executed a Letter of Intent (LOI), outlining the groundwork for discussions leading to a definitive agreement for WODI's potential acquisition of PWF. If finalized, this agreement would mark the establishment of the inaugural in-house manufacturing facility for WODI's Modular Water Systems division. The anticipated outcome of the acquisition is expected to be accretive, signifying a positive impact on WODI's earnings per share. It's essential to note that these discussions are in their early stages, and success is not guaranteed.

In October 2023, WODI and Fortune Rise Acquisition Corporation (FRLA) jointly declared a Business Combination, intending to establish a Nasdaq-listed Company. It is crucial to note that the proposed acquisition of PWF is independent of the completion of this Business Combination.
Established in February 2021 as a Delaware corporation, FRLA operates as a blank check company with the sole purpose of facilitating a merger, capital stock exchange, asset acquisition, stock purchase, reorganization, or a similar business combination with one or more entities. Classified as a "shell company" under the amended Exchange Act of 1934, FRLA lacks operational activities and possesses nominal assets primarily in the form of cash. Operating revenues for FRLA are not expected until the conclusion of its initial business combination, at the earliest. Thus far, FRLA's endeavors have been restricted to organizational tasks, activities related to its initial public offering, and the exploration of potential business combination targets.
